Terms and Conditions for Ryzup Marketing LLC
Effective Date: 21st February 2025
1. Acceptance of Terms
These Terms and Conditions constitute an agreement (“Agreement”) between the Client and Ryzup Marketing LLC (“the Service Provider,” hereby referred to as Ryzup Marketing) for the services specified in the Invoice. By accessing or using the services provided by Ryzup Marketing or accepting the Invoice, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, please refrain from using our services.
2. Agreement and Client Responsibilities
a. The Client acknowledges that they have understood the process to be carried out and that any doubts regarding the services mentioned in the Invoice have been clarified with Ryzup Marketing. Acceptance of the Invoice indicates the Client’s full comprehension of the Terms and the services provided.
b. All information provided by the Client, including contact details, must be genuine and comply with legal requirements. Ryzup Marketing is not responsible for any illegal information provided by the Client. The Client must ensure the accuracy of their contact details to facilitate effective communication.
c. The services specified in the Invoice will be carried out as agreed upon by the Client and Ryzup Marketing. Any rescheduling of services must adhere to the terms outlined in the Invoice.
d. The Client acknowledges that any additional permissions or consents required for the services have been arranged and approved before the services specified in the Invoice are carried out. If any permits are required, a copy must be submitted to Ryzup Marketing at least 24 hours before the service commences. Any costs associated with these permits will be borne by the Client.
3. Services Provided
Ryzup Marketing LLC specializes in the following services:
a. Photography: Event photography, product photography, real estate photography, and other commercial photography.
b. Videography: Promotional videos, event coverage, corporate videos, and other commercial videography.
c. 360 Virtual Tours: 360-degree virtual tours for real estate, businesses, and events.
d. Social Media Management: Strategy, planning, posting, engagement, and management on social media platforms.
e. Content Creation: Development of visual and written content for digital marketing purposes.
4. Payment Terms
a. The cost of services will be determined based on the agreed-upon scope of work between the Client and Ryzup Marketing.
b. A 50% advance payment is required to book the shoot date, with the remaining 50% due before the final submission of the project, unless any other terms have been agreed upon and specified in the invoice terms.
c. Payment must be made via Direct Bank Transfer or Cash as per the invoice. If client opts to pay by Cheque, final confirmation of the date of the shoot or final submission of the project will only occur once the cheque has been successfully encashed into Ryzup Marketing’s bank account.
d. The final Submission will initially made with the Ryzup Marketing Water mark, after the final payment has been cleared, the watermark will be removed and the prokject will be submitted.
e. No refunds will be provided once payment has been made.
5. Revisions and Additional Services
a. Three complementary editing revisions are included with the services provided and must be requested within 3 days of project completion. Additional revisions will incur an extra charge.
b. Additional services requested by the Client will incur additional costs.
6. Intellectual Property
a. The Client retains all rights to the services provided upon processing the full payment. Ryzup Marketing may use these materials for display and promotional purposes unless otherwise specified by the Client via email.
7. Rescheduling and Unforeseen Circumstances
a. In unforeseen circumstances, Ryzup Marketing may reschedule the service with immediate notice to the Client.
b. Rescheduling by the Client must be communicated at least 3 days in advance. Shorter notice will incur an additional charge of 20% of the total invoice value.
c. Cancellations by the Client will incur a cancellation fee of 30% of the total invoice value if canceled less than 7 days before the scheduled service date.
8. Service-Specific Terms
a. Photography Services:
- Deliverables include digital images in high-resolution format unless otherwise specified.
b. Videography Services:
- Deliverables include final videos in agreed formats (e.g., MP4) and resolutions.
- Three rounds of revisions are included. Additional revisions will incur extra charges.
- Ryzup Marketing uses copyright-free music. If the Client provides or requests specific music, Ryzup Marketing is not responsible for any copyright issues that may arise.
c. 360 Virtual Tours:
- Deliverables vary depending on the software used, they will be mentioned in the email by Ryzup Marketing.
- If Matterport is used, deliverables include embeddable codes and links.
- For the Hosting renewal of the Matterport tours, Ryzup Marketing Charges AED 30/- per tour per month after the complimentary period mentioned in the Invoice. This fee covers the following services:
- – Matterport hosting fees per virtual tour.
- – Adjustments for international exchange rates.
- – Professional service fees, including ongoing support and maintenance.
- – Regular monthly check-ins on your website to ensure the tours are functioning correctly.
- – If any issues arise, we proactively approach Matterport to resolve them.
- Clients wishing to manage the Matterport hosting independently will receive a one time basic guidance on setting up and maintaining a Matterport account at the time of creating the tour. Any further queries must be directed to Matterport.”
d. Social Media Management:
- Deliverables include monthly reports, performance metrics, and content calendars as agreed.
- Timely approval of content drafts and access to necessary accounts and materials are required from the Client.
e. Content Creation:
- Deliverables include drafts for approval and final content delivered in agreed formats.
- Three rounds of revisions are included; additional changes may incur extra fees.
9. Liability
a. Ryzup Marketing is not liable for delays or disruptions caused by factors beyond its control.
b. The Client assumes responsibility for any damages or injuries occurring at locations under their control.
10. Confidentiality
Ryzup Marketing will maintain the confidentiality of Client information and project details.
